1. Acceptance of Terms

By accessing or using StructureClerk ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

StructureClerk is a free regulatory compliance assessment tool. Coverage: 192 jurisdictions · 168 data protection laws in force · 18 AI governance frameworks · 5 cybersecurity. The Service includes:

A web-based compliance questionnaire and scoring tool
An AI chatbot for compliance questions
Public API endpoints (REST, A2A, MCP) for programmatic access
PDF report generation

3. Free Service

StructureClerk is currently provided free of charge. We reserve the right to introduce paid features in the future, but existing free features will remain free.

4. Not Legal Advice

StructureClerk does not provide legal advice. The Service identifies compliance gaps and prioritizes actions. It never declares you compliant. Legal judgment and liability remain with you and your legal advisors.

One exception, and only one: where a human review is requested and delivered, a named reviewer stands behind their finding within the limits set out in the human review terms. That review remains a procedural verification: it states what was examined, and still declares no compliance.

The AI-generated content is informational only. When the AI confidence level drops below 90% on a regulatory interpretation, the item is flagged for human review.

The algorithmic compliance module assesses organizational maturity in AI governance. Scores and recommendations are indicative and do not constitute certification of compliance with the EU AI Act, Law 25 or any other regulatory framework.

5. User Obligations

You agree to:

Provide accurate information in assessments
Not use the Service for unlawful purposes
Not attempt to overload, hack or disrupt the Service
Not use automated tools to scrape content beyond API endpoints
Comply with applicable laws in your jurisdiction

6. Website Analysis

The Service may, at your request, analyze a website: reading public pages (those an ordinary browser can display), robots.txt and sitemap.xml. No intrusion attempt, unauthorized authentication or vulnerability testing is performed.

By requesting a website's analysis, you represent that you own it or are duly authorized to request its analysis. StructureClerk performs no independent verification of this representation; you bear sole responsibility for it.

Analysis is subject to a daily limit per IP address. The findings produced are factual observations (what is present or absent on the pages read); they do not constitute a security audit or a compliance certification.

Once an assessment (questionnaire or website analysis) is complete, its de-identified results — sector, markets, findings — may be aggregated with other users' results to produce public sector statistics (the Observatory). This aggregate is only computed and published for a segment (sector × market) reaching at least 5 sites, and no URL or company name ever appears in it. What data is sent to our servers and for how long it is retained is detailed in the Privacy Policy, §2.1 to §4.

7. API Usage

API endpoints are public and free. See the API Usage Policy for rate limits, fair use and attribution requirements.

8. Intellectual Property

StructureClerk's code, design, methodology and content are the property of TechVibes Inc. The compliance assessment results and PDF reports generated for you are yours to use, subject to the retention and aggregate use described in §6 above and in the Privacy Policy — StructureClerk retains the right to use the de-identified, aggregated version of those results for statistical purposes, even after your individual report is deleted.

9. Limitation of Liability

The Service is provided "as is" without warranties of any kind. StructureClerk shall not be liable for any damages arising from the use or inability to use the Service, including but not limited to regulatory penalties, fines or business losses.

By express derogation from the preceding paragraph, a human review actually delivered engages the reviewer's liability up to the amount stated in the human review terms.

10. Modifications

We may update these Terms at any time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada. Any disputes shall be resolved in the courts of Quebec.
